Terms of Service

These Terms of Service ("Terms") are an agreement between you and StronglyAI, Inc. ("StronglyAI", "we", "us") and govern your use of stronglycloud.com and Strongly Cloud (together, the "Service"). If you use the Service for an organization, you accept these Terms on its behalf. If your organization has a signed agreement with StronglyAI, such as for Strongly Dedicated, that agreement governs where it conflicts with these Terms.

1. Accepting these Terms

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Strongly Cloud is a managed platform for building, running and shipping apps, agents and workflows. We run the infrastructure, including deployment, scaling, security and monitoring.

Early access. We are opening accounts in waves. Signing up does not guarantee an account by any date. Features available during early access may change.

3. Your account

You must give us accurate information and keep it up to date. You are responsible for keeping your credentials confidential, for everything that happens under your account, and for telling us promptly at support@strongly.ai about any unauthorized access.

4. Plans, credits and payment

  • Plans. Plans and prices are shown on our pricing page. Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled.
  • Credits. Each plan includes monthly credits that prepay the infrastructure you use on Strongly Cloud. You can buy additional credits at any time. Usage beyond your available credits requires additional credits.
  • Payment. Payments are handled by a third-party payment processor. You authorize us to charge your payment method for fees and credits.
  • Taxes. Prices exclude taxes. You are responsible for applicable taxes.
  • Refunds. Fees and purchased credits are non-refundable unless the law requires otherwise or we agree in writing.
  • Price changes. We may change prices with notice. Changes apply from your next billing period.

5. Your content and your apps

You keep ownership of everything you upload, create or connect, including your apps, agents, workflows and data ("Your Content"). You grant us a limited license to host, process and transmit Your Content only as needed to provide, secure and support the Service. We do not use Your Content to train, fine-tune or improve AI models.

You are responsible for Your Content and for the apps, agents and workflows you deploy, including that you have the rights to them, that they comply with the law, and that you give your own users appropriate terms and privacy notices.

6. Charging your users

If you turn on paid access and charge your users through the Stripe integration, you contract with Stripe directly and Stripe's terms apply. You are the seller: you are responsible for your prices, taxes, refunds, chargebacks and support for your customers. StronglyAI is not a party to transactions between you and your users.

7. Acceptable use

You agree not to use the Service to:

  • break the law or infringe anyone's rights, including intellectual property and privacy rights;
  • build or distribute malware, or generate harmful, deceptive or abusive content;
  • gain unauthorized access to, interfere with or overload the Service or other systems;
  • resell or share access to the Service except through apps you build on it as these Terms allow.

Our Acceptable Use Policy also applies.

8. AI output

AI output can be inaccurate or incomplete. Review it before relying on it, especially for decisions that affect people. Third-party models you use through the AI Gateway are subject to their providers' terms.

9. Our intellectual property

The Service, including its software, design and content, belongs to StronglyAI and its licensors and is protected by intellectual property laws. These Terms do not give you any rights in it beyond the right to use the Service as described here. If you send us feedback, we may use it without obligation to you.

10. Changes to the Service

We may add, change or remove features, and may limit availability in some locations. We will give reasonable notice of changes that materially reduce what your paid plan includes.

11. Suspension and termination

You can cancel at any time; your plan stays active until the end of the current billing period. We may suspend or end your access if you breach these Terms, fail to pay, or create a risk to the Service or others. After termination you can export Your Content for a reasonable period, after which we may delete it.

12. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the maximum extent the law allows, StronglyAI is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

14. Indemnification

You will defend and indemnify StronglyAI and its officers, directors, employees and agents against claims, losses and costs (including reasonable legal fees) arising from Your Content, the apps, agents and workflows you deploy, your transactions with your users, or your breach of these Terms.

15. Changes to these Terms

We may update these Terms. We will post the new version here, update the date at the top, and tell registered users about material changes by email. Continuing to use the Service after changes take effect means you accept them.

16. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which StronglyAI, Inc. is registered, without regard to conflict of law rules. We will first try to resolve any dispute informally, then by mediation, and if that fails, by binding arbitration.

17. General

If any part of these Terms is unenforceable, the rest remains in effect. These Terms, together with any order or signed agreement, are the entire agreement between you and StronglyAI about the Service.
